1. Agreement
These terms apply to every organization that uses Sunly HQ by Rose and to every person who signs in on an organization's behalf. If an organization has a separate written agreement with us (such as a license or partnership agreement), that agreement controls where it conflicts with these terms. Sunly uses Sunly HQ by Rose under a license from Rose Tech HQ LLC.
2. Organizations and accounts
- Each organization has its own space in the platform. Its administrators decide who gets an account, what each person can see and do, and how its data and integrations are set up.
- An organization is responsible for its people's use of the platform and for keeping their access current, including removing access when someone leaves.
- Accounts are for one named person. Don't share sign-ins.
- Information you give us about yourself must be accurate and kept up to date.
3. Account security
Keep your password and sign-in factors secure. Organizations and we may require multi-factor sign-in (an authenticator app or a code sent to your phone). Tell your administrator or us right away if you think your account was used without permission.
4. Your data
- Each organization owns the information it puts into the platform (its customers, projects, messages, documents and records) and gives us permission to host, process and transmit it to provide the service, as described in the Privacy Policy.
- Where organizations share a lead or project, each may use the shared information for that work, under the sharing terms they accepted.
- We may use de-identified, aggregated information to operate and improve the platform.
- An organization can export its data. When it closes its account, we delete or de-identify its data as described in the Privacy Policy.
5. Texts, calls and email
Sunly HQ by Rose lets organizations text, call and email their customers from the organization's own phone numbers and accounts. The organization sending a communication is the sender and is responsible for it. Each organization must:
- get and keep the consent required by the Telephone Consumer Protection Act, state telemarketing and mini-TCPA laws, and carrier rules before texting or calling, and keep records of it;
- honor opt-outs and do-not-contact requests promptly, and not use the platform to get around the protections it applies (calling hours, STOP, do-not-contact status and sending limits);
- register its texting programs as carriers require (such as A2P 10DLC or toll-free verification) and follow the CTIA Messaging Principles and Best Practices;
- follow call-recording consent laws, including all-party consent laws where they apply, when it chooses to record calls;
- follow CAN-SPAM and similar laws for email, and WhatsApp's business messaging policies for WhatsApp.
6. Acceptable use
You may not use Sunly HQ by Rose to:
- break the law, or send spam, unsolicited marketing, or messages that are deceptive, harassing or threatening;
- contact people who asked not to be contacted, or who are on a do-not-call list without a valid exemption;
- upload malware, probe or attack the platform, or try to get to data you aren't allowed to see;
- copy, resell or reverse-engineer the platform, or use it to build a competing product;
- upload content you don't have the right to use, or sensitive information the platform isn't designed for (such as full payment card numbers, Social Security numbers or medical records), except where a feature is built for it.
7. Third-party services
Organizations can connect services such as Twilio, QuickBooks, Pipedrive, Monday.com, and imagery and weather providers. Those services are governed by their own terms, and the organization is responsible for its accounts with them and their charges. We aren't responsible for third-party services, but we work to keep integrations reliable.
8. API access
An organization's developers may use the Sunly HQ by Rose API with keys issued to that organization. Keep keys secret, use only the access granted, respect rate limits, and use test keys for testing. We may revoke keys that are misused or exposed.
9. AI features
Some features use AI to answer questions, draft content and flag issues. AI output may be inaccurate or incomplete. Review it before relying on it, and don't use it as legal, insurance or financial advice. Estimates and measurements are estimates.
10. Our platform
Rose Tech HQ LLC owns Sunly HQ by Rose, including its software, design and documentation. We give each organization and its users a limited, non-exclusive, non-transferable right to use it during their subscription or license. Feedback you send us may be used to improve the platform without obligation to you.
11. Confidentiality
Each side will protect the other's non-public information with reasonable care and use it only to provide or use the platform.
12. Fees and provider charges
Fees for Sunly HQ by Rose, if any, are set in the organization's agreement with us. Charges from an organization's own providers (for example Twilio messaging and calling, or data providers billed to its account) are the organization's responsibility.
13. Disclaimers
Sunly HQ by Rose is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that messages or calls will be delivered, that third-party data (such as weather or imagery) is accurate, or any insurance claim, project or sales outcome.
14. Limitation of liability
To the extent the law allows, neither side is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data. Our total liability for any claim relating to Sunly HQ by Rose is limited to the amounts the organization paid us for it in the 12 months before the claim (or $100 if it paid nothing). These limits don't apply to an organization's obligations under section 15 or to amounts it owes.
15. Indemnification
Each organization will defend and hold Rose Tech HQ LLC harmless from claims arising from its communications with its customers (including claims under the TCPA, state telemarketing laws and call-recording laws), its data, or its breach of these terms.
16. Suspension and termination
We may suspend access that threatens the security or integrity of the platform, breaks the law or these terms, or exposes others to harm, and will restore it when the issue is resolved. An organization may stop using Sunly HQ by Rose at any time. Sections that by their nature should survive (such as data, confidentiality, disclaimers, liability and indemnification) survive termination.
17. Governing law and disputes
These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in New Jersey, and each side consents to their jurisdiction.
18. Changes
We may update these terms. We'll post the new version here with a new effective date and ask users to accept significant changes when they next sign in.
